Welcome to Vayoda, a mobile application and digital platform (the “App”) owned and operated by Vayoda Private Limited (“Company”, “we”, “us”, or “our”).
These Terms and Conditions (“Terms”) constitute a legally binding commercial agreement between Vayoda Private Limited and the business entity, corporate entity, sole proprietorship, or professional buyer accessing or using our App (“User”, “Buyer”, “you”, or “your”).
By downloading, installing, registering an account, or using the Vayoda App, you agree to be bound by these Terms. If you do not agree, or if you do not have the legal authority to bind your business entity, you must not use the App.
1. B2B Commercial Status & Eligibility
1.1 Strict Commercial Context: The Vayoda App is exclusively a Business-to-Business (B2B) marketplace designed solely for corporate purchasing, wholesale acquisitions, professional procurement, and business consumption.
1.2 Exclusion of Consumer Rights: You warrant that you are acting in a professional or commercial capacity. Statutory consumer protection laws, consumer rights, and cooling-off periods intended for retail consumers do not apply to transactions conducted through this App.
1.3 Corporate Authority: The individual creating an account or executing purchases warrants that they possess authority to bind the respective business entity.
2. Business Account Registration & Verification
2.1 Verification Process: Users must register for a business account to access wholesale catalog listings and complete checkout processes. You agree to provide accurate, current, and complete corporate details, including:
- Official Registered Business Name and DBA documentation
- Corporate Tax Identification Numbers and GST details
- Valid Business Registration Certifications or Resale Licenses
2.2 Account Security: You are solely responsible for maintaining the confidentiality of credentials allocated to your corporate agents. All actions initiated through your corporate profile are deemed authorized actions of your business entity.
3. Wholesale Pricing, Quotes, and Order Acceptance
3.1 Confidential Pricing: Pricing models, volume discounts, bulk distributions, and promotional campaigns visible within the App are confidential trade secrets of Vayoda Private Limited. Users may not share, scrape, publish, or expose pricing models to external third parties.
3.2 Order Processing: Displaying products does not constitute a legally binding offer to sell. Vayoda Private Limited may reject, modify, or cancel orders before shipment due to inventory changes, errors, or credit clearance parameters.
4. Commercial Payment Infrastructure & Credit Terms
4.1 Settlement Methods: Payments must be made via pre-authorized business instruments, including corporate cards, ACH transfers, or verified wire transfers.
4.2 Credit Facilities: Where extended corporate credit is granted, the business remains subject to continuous creditworthiness audits. Shipments or credit extensions may be suspended if financial delinquency occurs.
4.3 Late Payment Levies: Overdue invoices accrue financing charges at 1.5% per month or the highest legal ceiling permitted under applicable law, whichever is lower.
5. Bulk Delivery, Risk of Loss, and Freight
5.1 Incoterms Specification: Unless supplemented by an authorized digital invoice, logistics and freight allocations operate under Ex Works (EXW) or Free on Board (FOB) loading dock terms.
5.2 Transfer of Title: Legal title and risk of operational loss shift to the Buyer upon delivery of the consignment to the initial carrier or logistics driver.
6. Commercial Inspection Window & Return Limits
6.1 Strict Defect Window: Buyers must inspect delivered goods immediately. Claims relating to shortfalls, damage, defects, or wrong inventory must be logged in writing within five (5) calendar days of delivery.
6.2 Waiver: Failure to notify Vayoda within this window constitutes acceptance of the shipped inventory and waiver of future return, refund, or commercial credit rights.
7. Limitation of Liability
7.1 Financial Cap: To the maximum extent permitted by law, aggregate liability for claims arising from the App, data transfers, or purchased inventory will not exceed the amount paid for the specific order giving rise to liability.
7.2 Exclusion of Damages: Vayoda will not be liable for speculative, indirect, incidental, special, exemplary, punitive, or consequential damages.
8. Governing Law & Jurisdiction
8.1 Legal Interpretation: These Terms and all transactions are governed by applicable corporate and mercantile laws.
8.2 Forum Selection: Disputes arising from these Terms shall be submitted exclusively to the competent courts where Vayoda Private Limited’s principal corporate headquarters are registered.
